1. Preamble 
 

1. The purpose of these terms and conditions (hereinafter the "Terms and Conditions") is to govern the rights and obligations of members of the B&me programme (hereinafter the "Members") and the following companies:

hereinafter referred to as "B&B HOTELS" or the "company".

2. B&B HOTELS provides its Members with a customer service accessible by email by sending a request via the Contact Form.

2. Purpose and scope
 

3. B&B HOTELS offers a B&me loyalty programme to its business and consumer customers, within the meaning of consumer law, via the website hotel-bb.com (hereinafter the "Website") and its mobile application (hereinafter the "Application"), dedicated to the booking of hotel services.
4. Acceptance of these Terms and Conditions by creating an account on the "B&me" customer area implies the conclusion of a free electronic contract to join the B&me loyalty programme (hereinafter the "Programme").
5. By creating a B&me account, Members join the B&me programme and accept these Terms and Conditions without reservation.
6. The Member is expressly informed that these General Terms and Conditions do not govern:

• the use of the Website, which is governed by the General Terms and Conditions of Use of the Website, available here (insert the corresponding link);
• the booking of a stay, which is governed by the General Terms and Conditions of Sale available here (insert the corresponding link); 
• paid membership of the B&me CLUB programme, reserved for members who have subscribed to the B&me programme, which is governed by the Terms and Conditions available here (insert the corresponding link);      

3. Eligibility conditions for the programme 

7. To be eligible for the programme, Members must:

• be at least eighteen (18) years of age and/or have legal capacity (B&B HOTELS reserves the right to carry out any checks to ensure that the member is eligible to participate in the programme).

8.     The programme applies to both consumer and professional customers within the meaning of consumer law:

• a consumer customer within the meaning of Article L-010-1 of the Consumer Code refers to any natural person contracting with B&B HOTELS for purposes that do not fall within the scope of their commercial, industrial, craft, liberal or agricultural activity;
• a business customer refers to any natural or legal person, public or private, acting for purposes within the scope of their commercial, industrial, craft, liberal or agricultural activity, including when acting in the name and on behalf of another professional. 

9. B&B HOTELS reserves the right to carry out any checks necessary to ensure that the member is eligible to participate in the programme. 

4. Membership of the programme 
 

4.1 Registration for the programme

10. B&B HOTELS customers can sign up for the B&me programme free of charge by: 

• by completing a dedicated form on the www.hotel-bb.com website to create an account in the B&me customer area, or on the B&B HOTELS app, available in French, English, Spanish, Portuguese, German and Italian. 
• when booking a room on the Website;
• directly at the hotel.

11. The information that Members provide to B&B HOTELS when joining the programme must be complete, up to date, truthful and not misleading in any way.
12. B&B HOTELS reserves the right to ask Members to confirm, by any appropriate means, their identity, eligibility and the information provided.
13. Members are informed and accept that the information provided when subscribing to the programme constitutes proof of their identity. The information entered by Members is binding upon validation. 
14. Consequently, the Member undertakes to update this information on their account so that it always meets the above criteria, or to inform B&B HOTELS of any changes made using the Contact Form.
15. It is hereby reiterated that membership is personal and that only Members who have subscribed to the programme may benefit from it. Use of the programme by anyone other than the Member is prohibited.
16. It is expressly stated that the programme is entirely digital. Therefore, no physical medium (e.g. a loyalty card) will be given or sent to the Customer when they subscribe to the programme.

4.2 Acceptance of the terms and conditions 

17. The Customer undertakes to read these Terms and Conditions carefully before subscribing to the programme on the Website and expressly accepts them by clicking on the button confirming the creation of their account on the B&me customer area.
18. These Terms and Conditions are referenced at the bottom of each page of the Website via a link and must be consulted before subscribing to the programme.
19. More specifically, Members are invited to carefully read, download and print the Terms and Conditions and to keep a copy. 

5. The benefits of the programme 
 

20. The B&me Programme allows customers to enjoy several benefits described on a dedicated page of the website https://www.hotel-bb.com/en/b-and-me, particularly in relation to bookings made on the Website. The benefits of the B&me Programme may vary from one country to another.
21. The benefits granted under the B&me Programme: 

• are non-transferable; 
• are non-refundable;
• cannot be combined with bookings made using a corporate code;
• cannot be combined with discounts granted under the B&me CLUB paid loyalty programme;
• can only be used when bookings have been made on the Website or the Application.

22. The Customer is expressly informed that the benefits offered in the B&me programme are subject to change. The Customer will be informed of any permanent termination of the B&me Programme by email.

6. Effective date and duration of the programme 
 

23. Members shall enjoy the benefits of the programme from the date of subscription to the programme, for an indefinite period, subject to unilateral termination by either party, or extrajudicial termination in accordance with these General Terms and Conditions, in particular in the event of non-compliance with the conditions of Article 8 hereof. 

7. Members' obligations 
 

24. By subscribing to the programme, each Member undertakes not to breach public order, to comply with the laws and regulations in force and to respect the rights of third parties and the provisions of these General Terms and Conditions.
25. In particular, each Member is obliged to:

• behave loyally towards B&B HOTELS; 
• be honest and sincere in the information provided to B&B HOTELS; 
• use the features of the Programme in accordance with its purpose as described in these General Terms and Conditions;
• not misuse the Programme to commit crimes, offences or contraventions punishable under the Criminal Code or any other law;
• respect the privacy of third parties and the confidentiality of exchanges;
• respect the intellectual property rights of B&B HOTELS relating to the elements of the programme; 
• not to modify the information posted online by B&B HOTELS; 
• not to disseminate data that could diminish, disrupt, slow down or interrupt the normal functioning of the Programme and the Website. 

8. Termination of the programme 
 

8.1 Unsubscribing from the programme by the Member

26. Members may request to unsubscribe from the programme at any time directly from their Member account or by sending a request via the contact form.
27. B&B HOTELS  will process their withdrawal from the Programme as soon as possible and send them a confirmation email.       
28. Unsubscribing from the Programme will result in the deletion of the Member's "B&me" digital account and the loss of all unused benefits associated with the programme, effective from the date of receipt of the unsubscription request. 

8.2 Extrajudicial termination of membership of the programme by B&B HOTELS 

29. The Programme may be terminated by B&B HOTELS by giving prior notice to terminate the Member's membership of the programme with immediate effect in the event of the Member's failure to comply with their obligations under these Terms and Conditions, which may result in particular from fraudulent behaviour on the part of the Member or failure to comply with the conditions of eligibility for the programme set out in Article 3 (lack of legal capacity, etc.). 

9. Liability
 

30. B&B HOTELS cannot be held liable if it can demonstrate that the non-performance or poor performance of these General Terms and Conditions is attributable either to the member, to a third party to the contract, or to a case of force majeure, as defined by Luxembourg law and case law.

10. Changes to the loyalty programme 
 

31. These General Terms and Conditions may be amended and updated by B&B HOTELS at any time, in particular to adapt to legislative or regulatory changes.
32. The applicable Terms and Conditions are those in force at the time of browsing the Website.
33. Members will be informed of any substantial changes by email no later than thirty (30) days before such changes come into effect. If they do not agree to such changes, Members remain free to unsubscribe from the Programme, in accordance with Article 8.1 of these General Terms and Conditions.

11. Protection of personal data 
 

34. B&B HOTELS collects and processes the personal data of its Members in accordance with the regulations applicable to the protection of personal data, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 and the Luxembourg law of 1August 2018 on the protection of natural persons with regard to the processing of personal data.
35. Members have the right to access, modify, rectify, object to, transfer and restrict the use of their personal data under the conditions and in accordance with the procedures set out in its Privacy Policy. 

12. Intellectual property
 

36. Nothing herein shall constitute any transfer of any kind of property rights, in particular intellectual property rights, over elements belonging to B&B HOTELS to the Member, who shall refrain in any event from any action or act that may directly or indirectly infringe the intellectual property rights of B&B HOTELS.
37. In this regard, it is specified that the content of the Website, its general structure, as well as the trademarks, designs, models, animated or non-animated images, texts, photographs, logos, graphic charts, software and programmes, search engines, databases, sounds, videos, domain names, design and all other elements comprising the articles and the Website, or any other information appearing therein, without this list being exhaustive, are the exclusive property of B&B HOTELS or its partners or third parties who have granted it a licence, and are protected by intellectual property rights that are or will be recognised under the laws in force.
38. Any reproduction and/or representation, in whole or in part, of any of these elements without the prior express authorisation of B&B HOTELS, or outside the conditions provided for by the legal exceptions to these exclusive rights, is prohibited and would constitute, in particular but not exclusively, an infringement punishable under the provisions of the law of 18 April 2001 on copyright, related rights and databases, as amended.

13. General provisions 
 

39. If any clause in these general terms and conditions is deemed unlawful or unenforceable by a court decision, the other provisions shall remain in force.
40. The information provided by the Website shall be deemed authentic between the parties. Elements such as the date and time of receipt or transmission, as well as the quality of the data received, shall be deemed authentic as they appear on the information systems of B&B HOTELS, unless the member provides written proof to the contrary. The scope of the evidence provided by the information systems of B&B HOTELS is that granted to an original in the sense of a handwritten, signed paper document.

14. Disputes

14. With regard to consumer customers 

41. These General Terms and Conditions shall be executed and interpreted in accordance with Luxembourg law. In the event of a dispute, the Member shall first contact B&B HOTELS customer service to seek an amicable solution.
42. Members are reminded that for any information or complaints, B&B HOTELS customer service is available to Members by email by sending a request via the Contact Form.
43. In accordance with the provisions of the law of 17 February 2016 introducing out-of-court settlement of consumer disputes into the Consumer Code, the Member may have recourse to the mediation service free of charge through the "National Consumer Ombudsman Service", whose contact details are as follows:

44. Before the dispute is examined by the mediation service, the consumer must prove that they have first attempted to resolve their dispute directly with B&B HOTELS' customer service department by sending a written complaint by post or email. Recourse to the mediation service is only possible if the complaint has not previously been examined by a judge or another mediator. The Mediation Service may refuse to deal with complaints that have not been submitted within one year of the written complaint being made to B&B HOTELS.
45. In the absence of an agreement between the parties, the dispute may be brought before the competent court in accordance with the Judicial Code.

14.2 With regard to business customers 

46. The parties shall endeavour to settle amicably any dispute that may arise between them concerning the interpretation, performance or termination of these general terms and conditions.
47. IN THE ABSENCE OF AN AMICABLE AGREEMENT BETWEEN THE PARTIES WITHIN ONE (1) MONTH OF NOTIFICATION OF THE DISPUTE, THE DISPUTE MAY BE SUBMITTED TO THE COMPETENT COURTS OF LUXEMBOURG CITY, TO WHICH EXPRESS AUTHORITY IS GRANTED TO SETTLE THE DISPUTE.
